1. About the Company

1.1. https://www.thrifts.co.za/ ("the Platform") is a peer-to-peer e-commerce marketplace that enables Users to buy and sell both new and pre-loved fashion items and to open their own virtual shops.
1.2. The Platform is owned and operated by NEVENTURES (Pty) Ltd, a private company duly incorporated in South Africa with registration number 2024/665956/07, trading as Thrifts, with its principal place of business situated at 27 Beacon Street, LinbroPark, Sandton, 2196. 1.3. By registering as a User of the Platform ("User"), the User confirms that they have read, understood, and agree to be bound by these Terms and Conditions ("Terms").
1.4. These Terms regulate the relationship between Thrifts, Sellers, and Buyers using the Platform. Please read these Terms carefully before using the Platform. Continued use of the Platform constitutes acceptance of these Terms.
1.5. The terms "User", "Seller", and "Buyer" apply interchangeably to all persons accessing or transacting on the Platform.


2. User Account

2.1. To use the Platform, the User must register an account with accurate personal information.
2.2. Users must ensure their login credentials remain secure and confidential and must not be disclosed to third parties.
2.3. Users are responsible for all activity carried out through their account. Suspected misuse or unauthorised use must be reported immediately to support@thrifts.co.za.
2.4. Each User may only operate one account. Thrifts reserves the right to suspend or terminate any duplicate, fraudulent, or suspicious accounts.
2.5. By providing personal data, the User warrants that it is accurate and lawfully shared. Please refer to our Privacy Policy for further details on the collection and use of personal data.


3. How Thrifts Works

3.1. The Platform enables Users to:

  • Open an online store on the Platform.

  • List, sell, and promote new or pre-loved fashion items.

  • Browse, favourite, and purchase items listed by other Users.

  • Communicate with other Users through integrated messaging.

  • Share product listings via integrated social media features.

3.2. Thrifts provides payment facilitation services for transactions concluded on the Platform. Buyers transfer the purchase price to Thrifts, which acts as the Seller’s limited payment agent to receive payment on their behalf.
3.3. All transactions must be conducted in South African Rands (ZAR).


4. Service Fees

4.1. Opening an account, creating a shop, and listing items are free of charge.
4.2. Thrifts charges a Buyer Protection Fee of 5% of the item price plus R12 per order, automatically applied at checkout.
4.3. The Buyer Protection Fee is refunded to the Buyer if the order is cancelled before shipping or in the event of an approved refund or return.
4.4. Thrifts reserves the right to deduct fees if orders are cancelled in violation of these Terms.


5. Transaction Security

5.1. All transactions must take place within the Platform using the approved payment methods.
5.2. Buyer Protection operates as follows:

  • Buyer’s payment is securely held by Thrifts until the Seller confirms shipment and the Buyer confirms receipt.

  • Payment is thereafter released to the Seller’s wallet, from which funds may be withdrawn to a verified bank account.

5.3. To protect both Buyers and Sellers, all pre- and post-sale communication should take place within the Platform.


6. Shipping and Delivery

6.1. Sellers must ship items promptly and always within 7 (seven) days of purchase unless otherwise agreed with the Buyer.
6.2. Buyers must confirm receipt of goods within 48 (forty-eight) hours of delivery. If confirmation is not received, Thrifts may complete the order on the Buyer’s behalf using tracking information provided.
6.3. The Seller is solely responsible for proper packaging, accurate labelling, and compliance with courier policies.
6.4. Thrifts does not accept liability for delays, damages, or losses caused during shipment. Any claims must be lodged directly with the courier service.


7. Disclaimer of Liability

7.1. Thrifts is not the owner, manufacturer, or seller of items listed on the Platform. Sales contracts are concluded directly between Users.
7.2. Thrifts does not guarantee the authenticity, quality, legality, or suitability of items listed on the Platform.
7.3. Thrifts does not inspect items prior to sale and does not guarantee that items comply with the descriptions provided by Sellers.
7.4. Thrifts accepts no liability for disputes arising from sales transactions. Disputes must be resolved between the Buyer and Seller, although Thrifts may, at its discretion, provide limited dispute resolution support.


8. User Responsibilities

8.1. Users must be over 18 years of age or have parental/guardian consent.
8.2. Users must provide truthful, complete, and accurate information regarding items listed.
8.3. Users may not upload counterfeit or prohibited goods, including but not limited to:

  • Counterfeit, replica, or unauthorised goods.

  • Medicines, medical devices, or healthcare products.

  • Motorised vehicles.

  • Alcohol, food products, or beverages.

  • Firearms, weapons, or ammunition.

  • Adult material or pornography.

  • Gift cards, vouchers, or intangible goods.

  • Animals.

8.4. Sellers are responsible for ensuring compliance with all relevant tax obligations, including VAT and income tax. Thrifts assumes no responsibility for Users’ tax compliance.


9. Intellectual Property

9.1. All content, layout, design, software, and intellectual property associated with the Platform are owned or licensed by Thrifts and protected under South African and international law.
9.2. Users grant Thrifts a non-exclusive, royalty-free licence to use their content (such as images and descriptions) for purposes of marketing, service provision, and promotion.
9.3. Users may not copy, modify, or redistribute Platform content without prior written consent from Thrifts.


10. Returns and Refunds

10.1. Buyers may return items within 48 (forty-eight) hours of receipt if the item significantly differs from its description.
10.2. The Buyer must notify both the Seller and Thrifts of their intention to return within this period and must ship the item back using the same courier method, unless otherwise agreed.
10.3. Refunds are processed once the Seller confirms receipt of the returned item, after which Thrifts releases funds back to the Buyer’s wallet or original payment method.
10.4. Shipping costs for returns are borne by the Buyer unless otherwise agreed with the Seller.


11. Privacy and Data Protection

11.1. Thrifts processes personal data in accordance with the Protection of Personal Information Act (POPIA).
11.2. User data, including payment details, may be shared with authorised third-party service providers for the purpose of processing transactions.
11.3. Users have the right to access, rectify, or delete their personal data by contacting support@thrifts.co.za.

12. Amendments

12.1. Thrifts may amend these Terms from time to time to improve services or comply with regulatory requirements.
12.2. Updated Terms will be published on the Platform, and continued use of the Platform constitutes acceptance of the amended Terms.


13. Governing Law and Jurisdiction

13.1. These Terms are governed by the laws of the Republic of South Africa.
13.2. Any disputes shall be subject to the jurisdiction of South African courts.

15. Final Provisions

15.1. Thrifts is a software-based service provider and does not directly participate in transactions between Buyers and Sellers beyond providing the Platform and payment facilitation services.
15.2. Nothing in these Terms shall be interpreted as establishing a partnership, agency, or employment relationship between Thrifts and Users.
15.3. Force majeure: Thrifts shall not be held liable for failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, government restrictions, power outages, or cyberattacks.
15.4. If any provision of these Terms is found invalid, the remaining provisions shall continue in full force and effect.


16. Disclaimers

16.1. The Platform is provided on an “as is” and “as available” basis. Thrifts makes no warranties or representations, express or implied, as to the operation, accessibility, accuracy, reliability, or suitability of the Platform or its services.
16.2. Thrifts does not guarantee that the Platform will function uninterrupted or error-free, nor that it will be free from viruses or harmful components.
16.3. Thrifts shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, data, or goodwill arising from the use of or inability to use the Platform.
16.4. User-generated content, including listings, images, and descriptions, are the sole responsibility of the User. Thrifts does not verify or endorse such content.


17. Indemnities

17.1. Users agree to indemnify, defend, and hold harmless Thrifts, its directors, employees, and partners from any claims, demands, losses, damages, or expenses (including reasonable legal fees) arising out of:

  • Any breach of these Terms by the User.

  • The User’s misuse of the Platform.

  • The sale of counterfeit, prohibited, or unlawful goods.

  • Any infringement of intellectual property rights or other third-party rights.

17.2. This indemnity shall survive termination of the User’s account or these Terms.


18. Dispute Resolution

18.1. In the event of a dispute, Users and Thrifts shall first attempt to resolve the matter amicably through negotiation.
18.2. If negotiations fail, the parties agree to refer the dispute to independent mediation.
18.3. Should mediation not resolve the dispute, the matter may be referred to the competent courts of the Republic of South Africa.
18.4. Users agree not to publicise disputes on social media or other public forums. Any reputational harm caused by such actions may result in legal claims for damages.


19. Termination

19.1. Thrifts reserves the right to restrict, suspend, or terminate any User account where the User breaches these Terms, engages in fraudulent or unlawful activity, or otherwise undermines the integrity of the Platform.
19.2. Users may terminate their accounts at any time by ceasing use of the Platform and requesting account deletion.
19.3. Termination does not affect the validity of prior transactions concluded via the Platform.
19.4. Thrifts reserves the right to retain records as required by law, even after account termination.


20. Final Provisions

20.1. These Terms and the legal relationship between Thrifts and Users are governed by the laws of the Republic of South Africa.
20.2. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
20.3. Thrifts shall not be held liable for non-performance or delays caused by events beyond its reasonable control (force majeure), including but not limited to natural disasters, government restrictions, strikes, power outages, and cyberattacks.
20.4. No indulgence, leniency, or extension of time granted by Thrifts shall constitute a waiver of its rights under these Terms.
20.5. These Terms may be amended from time to time. Continued use of the Platform following such amendments constitutes acceptance of the revised Terms.
